Executive Sisterhood User Agreement – Effective February 16, 2018
You agree that by becoming a supporter or member of Executive Sisterhood Inc. (“Executive Sisterhood”) or by accessing or using our Communications (described below), you are agreeing to enter into a legally binding contract with Executive Sisterhood (even if you are using our Communications on behalf of a company). If you do not agree to this contract (hereinafter “User Agreement”), do not become a member or access or otherwise use any of our Communications.
This User Agreement applies to ExecutiveSisterhood.org, ExecutiveSisterhood.com, and other Executive Sisterhood-related sites, apps, and communications that state that they are offered under this User Agreement (“Communications”), including the offsite collection of data for those Communications, such as ads. Registered users of our Communications are “Supporters,” “Members” and unregistered users are “Visitors”. This User Agreement applies to all three categories of users.
You are entering into this User Agreement with Executive Sisterhood (also referred to as “we” and “us”). If you reside in the United States, you are entering into this User Agreement with Executive Sisterhood and your personal data provided to, or collected by or for, our Communications is controlled by Executive Sisterhood.
When you register and join the Executive Sisterhood, you become either a Supporter or a Member. If you have chosen not to register for our Communications, you may access certain features as a Visitor.
Here are some promises you make to us in this User Agreement:
You’re eligible to enter into this User Agreement and you are at least our “Minimum Age.”
The Communications are not for use by anyone under the age of 18.
To use the Communications, you agree that: (1) you must be the “Minimum Age” (described below) or older; (2) you will only have one Executive Sisterhood account which must be in your real name; and (3) you are not already restricted by Executive Sisterhood from using the Communications.
“Minimum Age” means 18 years old. However, if law requires that you must be older in order for Executive Sisterhood to lawfully provide the Communications to you without parental consent (including using of your personal data) then the Minimum Age is such older age.
You’ll keep your password a secret. You will not share an account with anyone else and will follow our rules and the law.
Supporters and Members are account holders. You agree to: (1) try to choose a strong and secure password; (2) keep your password secure and confidential; (3) not transfer any part of your account, and (4) follow the law and our list of Dos and Don’ts. You are responsible for anything that happens through your account unless you close it or report misuse.
As between you and others (including your employer), your account belongs to you.
You’re okay with us providing notices to you through our websites, apps, and contact information you provided to us. If the contact information you provide is out of date, you may miss out on important notices.
You agree that we will provide notices to you in the following ways: (1) a notice within Executive Sisterhood, or (2) a message sent to the contact information you provided us (e.g., email, mobile number, physical address). You agree to keep your contact information up to date.
When you share information, others can see, copy and use that information.
Our Communications allow messaging and sharing of information in many ways, such as your profile, your actions, links to news articles, social activity and blogs. Information and content that you share or post may be seen by other Supporters, Members or Visitors. Where we have made such settings available, we will honor the choices you make about who can see content or information.
We are not obligated to publish any information or content on Executive Sisterhood and can remove it in our sole discretion, with or without notice.
You own all of the content, feedback, and personal information you provide to us, but you also grant us a non-exclusive license to it.
You promise to only provide information and content that you have the right to share, and that the activities you post and share on the Executive Sisterhood site, as well as your Executive Sisterhood profile, will be truthful.
As between you and Executive Sisterhood, you own the content and information that you submit or post and you are only granting Executive Sisterhood the following non-exclusive license: A transferable and sublicensable right to use, copy, modify, distribute, publish, and process, information and content that you provide through our Communications, without any further consent, notice and/or compensation to you or others. These rights are limited in the following ways:
By submitting suggestions or other feedback regarding our Communications to Executive Sisterhood, you agree that Executive Sisterhood can use and share (but does not have to) such feedback for any purpose without compensation to you.
You agree to only provide content or information that does not violate the law nor anyone’s rights (including intellectual property rights). You also agree that your profile information and the content, information and activity you post and share will be truthful. Executive Sisterhood may be required by law to remove certain information or content.
We may change, suspend or end any Communications, in our discretion. To the extent allowed under law, these changes may be effective upon notice provided to you.
We may change or discontinue any of our Communications. We don’t promise to store or keep showing any information and content that you’ve posted.
Your use of others’ content and information posted on our Communications, is at your own risk.
Others may make Communications through Executive Sisterhood, and we aren’t responsible for their activities.
By using the Communications, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. Executive Sisterhood generally does not review content provided by our Supporters, Members or others, including but not limited to Visitors. You agree that we are not responsible for others’ (including other Supporters’ and Members’) content or information. We cannot always prevent this misuse of our Communications, and you agree that we are not responsible for any such misuse. You also acknowledge the risk that you or your organization may be mistakenly associated with content about others when we let connections and followers know you or your organization were mentioned in the news.
We have the right to limit how you connect and interact on our Communications.
Executive Sisterhood reserves the right to limit your use of the Communications, including your activities, and your ability to contact other Supporters and Members. Executive Sisterhood reserves the right to restrict, suspend, or terminate your account if Executive Sisterhood believes that you may be in breach of this User Agreement or law or are misusing the Communications (e.g. violating any Dos and Don’ts).
We’re providing you notice about our intellectual property rights.
Executive Sisterhood reserves all of its intellectual property rights in the Communications. Using the Communications does not give you any ownership in our Communications or the content or information made available through our Communications. Trademarks and logos used in connection with the Communications are the trademarks of their respective owners. Executive Sisterhood trademarks, service marks, graphics, and logos used for our Communications are trademarks or registered trademarks of Executive Sisterhood.
This is our disclaimer of legal liability for the quality, safety, or reliability of our Communications.
TO THE EXTENT ALLOWED UNDER LAW, EXECUTIVE SISTERHOOD AND ITS AFFILIATES (AND THOSE THAT EXECUTIVE SISTERHOOD WORKS WITH TO PROVIDE THE COMMUNICATIONS) (A) DISCLAIM ALL IMPLIED WARRANTIES AND REPRESENTATIONS (E.G. WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF DATA, AND NONINFRINGEMENT); (B) DO NOT GUARANTEE THAT THE COMMUNICATIONS WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS, AND (C) PROVIDE THE SERVICE (INCLUDING CONTENT AND INFORMATION) ON AN “AS IS” AND “AS AVAILABLE” BASIS.
SOME LAWS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OR ALL OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.
These are the limits of legal liability we may have to you.
TO THE EXTENT PERMITTED UNDER LAW (AND UNLESS EXECUTIVE SISTERHOOD HAS ENTERED INTO A SEPARATE WRITTEN AGREEMENT THAT OVERRIDES THIS User Agreement), EXECUTIVE SISTERHOOD AND ITS AFFILIATES (AND THOSE THAT EXECUTIVE SISTERHOOD WORKS WITH TO PROVIDE THE COMMUNICATIONS) SHALL NOT BE LIABLE TO YOU OR OTHERS FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, OPPORTUNITIES, REPUTATION, PROFITS OR REVENUES, RELATED TO THE COMMUNICATIONS (E.G. OFFENSIVE OR DEFAMATORY STATEMENTS, DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT).
IN NO EVENT SHALL THE LIABILITY OF EXECUTIVE SISTERHOOD AND ITS AFFILIATES (AND THOSE THAT EXECUTIVE SISTERHOOD WORKS WITH TO PROVIDE THE COMMUNICATIONS) EXCEED, IN THE AGGREGATE FOR ALL CLAIMS, THE AMOUNT OF US ONE DOLLAR ($1.00).
THIS LIMITATION OF LIABILITY IS PART OF THE BASIS OF THE BARGAIN BETWEEN YOU AND EXECUTIVE SISTERHOOD AND SHALL APPLY TO ALL CLAIMS OF LIABILITY (E.G. WARRANTY, TORT, NEGLIGENCE, User Agreement, LAW) AND EVEN IF EXECUTIVE SISTERHOOD OR ITS AFFILIATES HAS BEEN TOLD OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF THESE REMEDIES FAIL THEIR ESSENTIAL PURPOSE.
SOME LAWS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, SO THESE LIMITS MAY NOT APPLY TO YOU.
We can each end this User Agreement anytime we want.
Both you and Executive Sisterhood may terminate this User Agreement at any time with notice to the other. On termination, you lose the right to access or use the Communications. The following shall survive termination:

In the unlikely event we end up in a legal dispute, we agree to resolve it in Massachusetts courts (using Massachusetts law).
For all, including those who live outside of the United States, you agree that the laws of the Commonwealth of Massachusetts, U.S.A., excluding its conflict of laws rules, shall exclusively govern any dispute relating to this User Agreement and/or the Communications. We both agree that all of these claims can only be litigated in the federal or state courts in Suffolk County, Massachusetts, USA, and we each agree to personal jurisdiction in those courts.
Here are some important details about how to read the User Agreement.
If a court with authority over this User Agreement finds any part of it not enforceable, you and us agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and us agree to ask the court to remove that unenforceable part and still enforce the rest of this User Agreement. To the extent allowed by law, the English language version of this User Agreement is binding and other translations are for convenience only. This User Agreement (including additional terms that may be provided by us when you engage with a feature of the Communications) is the only agreement between us regarding the Communications and supersedes all prior agreements for the Communications.
If we don’t act to enforce a breach of this User Agreement, that does not mean that Executive Sisterhood has waived its right to enforce this User Agreement. You may not assign or transfer this User Agreement (or use of Communications) to anyone without our consent. However, you agree that Executive Sisterhood may assign this User Agreement to its affiliates or a party that buys it without your consent. There are no third-party beneficiaries to this User Agreement.
We reserve the right to change the terms of this User Agreement and will provide you notice if we do and we agree that changes cannot be retroactive. If you don’t agree to these changes, you must stop using the Communications.

We respect the intellectual property rights of others. We require that information posted by Supporters or Members be accurate and not in violation of the intellectual property rights or other rights of third parties.
